SERVICE AGREEMENT

This Service Agreement ("Agreement") is made and entered into as of the date of acceptance by the Client ("Effective Date") by and between Frontier Capital Trust ("FCT"), a trust administration and compliance service provider, and the undersigned Client ("Client"), collectively referred to as "Parties."


1. SCOPE OF SERVICES

FCT agrees to provide the Client with Trust Administration & Compliance Management Services to ensure trust structure integrity, IRS compliance, and proper documentation. These services include but are not limited to:

Session 1: Trust Administration & Compliance Documentation & Setup (30 minutes)

  • Collection, review, and organization of trust documents.

  • Verification of Trust Agreement, Trustee Appointment, Certification of Trust, and Schedule of Assets.

  • Review of tax and financial records, including Trust EIN, Form 1041 filings, K-1s, and bank/investment statements.

  • Assessment of compliance with IRS and legal standards.

  • Development of a preliminary action plan for required compliance adjustments.

Session 2: Advanced Trust Compliance, Adjustments & Long-Term Administration (30 minutes)

  • Review and filing of IRS Form 1041 and tax-related documents.

  • Trust investment & reinvestment strategy optimization (including Like-Kind Exchanges, QSBS exemptions, and Opportunity Zones).

  • Implementation of trust amendments, reclassification of assets, and execution of required filings.

  • Risk mitigation measures, including IRS audit prevention strategies, trustee documentation, and compliance oversight.

  • Ongoing administration and compliance handling for the Client’s trust throughout the year.


2. TERM & DURATION

  • This Agreement shall commence upon acceptance by the Client and remain in effect for one year from the Effective Date.

  • The subscription shall automatically renew on an annual basis unless canceled by the Client in writing at least 30 days before the renewal date.

  • Additional services beyond the scope of this Agreement will require a separate agreement and may be subject to additional fees.


3. PAYMENT TERMS

  • The Client agrees to pay an annual subscription fee of $4,999 per year.

  • Payment is processed securely through [Kajabi or preferred platform] and is due in full upon subscription initiation and renewal.

  • No refunds shall be issued once services commence unless FCT determines an inability to perform services as outlined.


4. CLIENT RESPONSIBILITIES

The Client agrees to:

  • Provide all requested documentation and information necessary for trust administration and compliance analysis.

  • Cooperate in a timely manner and make required decisions within designated timeframes.

  • Disclose any prior tax or legal issues affecting trust compliance.

  • Acknowledge that timely compliance updates may require additional trustee action or approvals.


5. CONFIDENTIALITY

  • Both Parties agree to maintain the confidentiality of all trust-related information exchanged during the term of this Agreement.

  • FCT shall not disclose or use Client’s trust information for any purpose other than providing the agreed-upon services.

  • Client acknowledges that while FCT takes reasonable steps to ensure data security, electronic communications involve inherent risks.


6. LIMITATION OF LIABILITY

  • FCT provides trust administration and compliance services as a non-legal, non-tax advisory service and does not provide legal, tax, or investment advice.

  • The Client is responsible for reviewing all recommendations with a licensed attorney or tax professional where necessary.

  • FCT shall not be liable for any indirect, incidental, or consequential damages arising from the use of the services.


7. TERMINATION

  • Either Party may terminate this Agreement with written notice if the other Party fails to meet its obligations.

  • If the Client terminates the agreement before the end of the subscription period, no refunds will be issued, and the Client remains responsible for any outstanding fees.

  • Upon termination, FCT will cease all compliance and administration services for the Client’s trust.


8. DISPUTE RESOLUTION

  • Any disputes arising from this Agreement shall first be resolved through negotiation.

  • If unresolved, disputes shall be settled through binding arbitration in the jurisdiction of Frontier Capital Trust’s principal place of business.


9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of [Insert Jurisdiction].


10. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements or understandings, whether written or oral.
